French group caps a $3.3 billion cash deal as it pairs consulting and tech with WNS’s delivery platforms to scale intelligent operations

French technology company Capgemini SE completed its purchase of business process services firm WNS Holdings for $76.50 a share in cash, valuing the business-process services provider at about $3.3 billion excluding net debt.

WNS will stop trading on the New York Stock Exchange on Friday, 17 October, the company said in a statement.

The companies unveiled the agreement on 7 July at $76.50 a share, a 17% premium to WNS’s 3 July close, positioning the French group to fold WNS’s industry platforms and offshore delivery into its consulting and technology franchise as clients push deeper into AI-driven automation.

Closing followed a string of milestones: shareholder approval in September, all regulatory clearances, and the Royal Court of Jersey’s sanction of WNS’s scheme of arrangement on 9 October. Settlement will proceed through brokers and a paying agent as set out in WNS’s scheme circular.

Capgemini prefunded the purchase with a €4 billion multi-tranche bond in September, replacing a bridge arranged at signing. The bonds were marketed at BBB+ and earmarked to finance or refinance the WNS deal and related debt.

“This next chapter joins forces to create a global powerhouse,” WNS chief executive Keshav Murugesh said, adding the combined firm will deliver “intelligent, domain and industry-centric operations.”

Capgemini CEO Aiman Ezzat said the pairing will help clients “reinvent their business processes end-to-end” and build a leader in intelligent operations.

WNS brings scale in North America and strong positions in travel, utilities, insurance and healthcare operations.

As of 30 June, the company reported 66,085 employees across 65 delivery centers in markets including India, the Philippines, Poland, Romania, South Africa, the UK and the US.
